We partner with high-growth companies, large institutions, nonprofits and family offices confronting nuanced governance challenges in the face of legal and regulatory decisions carrying lasting consequences.
Our work centers on moments of inflection: crises, investigations, audits, leadership transitions, regulatory scrutiny, and strategic pivots. We bring seasoned counsel and hands-on leadership to design governance frameworks, strengthen compliance and controls, and translate legal analysis into actionable business solutions.
Critical Decision-Making
Our engagements often arise at critical decision points. For example, we worked with PACS Group, Inc., a newly public, high-growth company facing significant external and internal scrutiny. Our CEO Kathy Lauer joined the executive leadership team as Interim Chief Compliance Officer to build a compliance program sufficient to satisfy the Board and external auditors, with a focus on revenue integrity and robust, sustainable controls, all amid multiple government investigations.

CEO Bio
For as long as I can remember, I have advocated for what I believe in. As a state finalist in debate and competitive speaking in high school, I learned both the art and science of logical analysis and began to use to that methodology to persuade people about my positions. A law career was in the making.
I was a member of the Honors Program at the University of Michigan, where I studied political science and set my sights on law school. I was proud to be accepted at Michigan Law School, noted among the top law schools in rankings by US News.
My path to big law was set when I nailed a summer associateship and subsequently was invited to join the firm of Latham & Watkins in 1988.
My initial work at Latham gave me an opportunity to specialize in healthcare law. Throughout my legal career and beyond it, I have focused on regulatory compliance, corporate governance, and complex risk assessment for business clients and as a board advisor, and most recently at the table in the boardroom.
Believing that contributing to my firm internally would concretely benefit my client base, I accepted the role of Global Chair of the firm’s Healthcare and Life Sciences Practice. I also became fully engaged in the development and evaluation of our people as Vice-Chair of Latham's Associates Committee with the mandate to evaluate our best and brightest for the partnership.
Additionally I founded a small business 16 years ago with a vision to make a success in the wine industry. I knew it was a tough business. I also knew that my partners were tough enough to go full throttle and I am proud of our commitment to build on this family office investment.
The decision to launch KL Boardroom Consulting was a natural extension to my legal career and orientation towards business problem solving.
